Terms of Service

These Terms govern your use of Farm-2 ("Service") operated by Farm2 LLC ("we", "us"). By creating an account or using the Service you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter contracts in your jurisdiction. The Service is intended for farmers, agricultural businesses, and related service providers in Canada and the United States.

2. The Service

Farm-2 is an online marketplace that connects buyers and sellers of physical agricultural goods, equipment, and related services. Farm-2 itself is not a party to transactions between users — we provide listing, messaging, protected payments (via Stripe), and dispute support tools.

3. Your Account

• You are responsible for the accuracy of your profile, listings, and any content you post.
• You are responsible for keeping your password secure. Notify us if you suspect unauthorized access.
• You may delete your account at any time at farm-2.com/delete-account.

4. Listings & Prohibited Items

You may only list items you have the legal right to sell. The following are prohibited:

• Live animals where transport across state, provincial, or international lines requires permits you do not hold.
• Controlled substances, including cannabis except where both parties hold the required licences.
• Pesticides, veterinary medicines, or restricted-use chemicals sold to unlicensed buyers.
• Stolen goods, counterfeit goods, or items that infringe third-party intellectual property.
• Firearms, ammunition, explosives, or hazardous materials except where both parties comply with applicable laws.
• Anything that violates federal, provincial, state, or municipal law in either party's jurisdiction.

5. Transactions & Payments

• Payments are processed by Stripe under their terms of service. Farm-2 does not store full card numbers.
• Most transactions use Farm-2 protection: funds are held until the buyer confirms delivery, then released to the seller minus the platform fee.
• The platform fee is 2.95% of the transaction subtotal, plus Stripe processing fees.
• Sales tax is calculated and collected automatically at checkout by Farm-2 Auto Tax based on the buyer's location. Canadian buyers are charged applicable GST/HST/PST/QST by province; U.S. buyers are charged their state's sales tax rate. Cross-border sales are zero-rated. Sellers are responsible for remitting collected taxes to the appropriate authorities.
• Refunds are governed by the seller's stated policy and Stripe's chargeback rules. Farm-2 may issue refunds in disputes per Section 7.

5A. Taxes & Farm-2 Auto Tax

Farm-2 uses an automatic tax calculation system ("Farm-2 Auto Tax") that determines applicable sales taxes at checkout based on the buyer's location:

• Canadian domestic sales: GST, HST, PST, or QST is calculated automatically based on the buyer's province or territory. The applicable rates follow current federal and provincial tax law.
• U.S. domestic sales: State sales tax is calculated automatically based on the buyer's state. States with no sales tax (Alaska, Delaware, Montana, New Hampshire, Oregon) are charged 0%. The rate applied is the state-level base rate only (local surcharges may apply separately).
• Cross-border sales (Canada to U.S. or U.S. to Canada): Exports are zero-rated. No domestic sales tax is charged on cross-border transactions. Import duties or customs fees, if any, are the buyer's responsibility at the border.

Prices displayed on Farm-2 listings are set by sellers and do not include tax. Tax is added automatically at checkout where applicable.

Seller obligations: Each seller on Farm-2 is responsible for:

• Registering for and obtaining any required tax identification numbers (GST/HST number, provincial PST number, state sales tax permit, etc.).
• Remitting all collected taxes to the appropriate tax authorities on time.
• Filing all required tax returns and maintaining records of all transactions.
• Claiming any applicable exemptions (e.g. agricultural product exemptions) where entitled.

Farm-2 collects tax on behalf of sellers as a convenience and remits the tax portion of each transaction to the seller along with the sale proceeds. It is the seller's responsibility to remit these amounts to the appropriate tax authority.

Farm-2 is not a tax advisor and does not provide tax advice. The tax rates used by Farm-2 Auto Tax are state/provincial base rates and may not account for local surcharges, product-specific exemptions, or special agricultural tax rules. Users should consult a qualified tax professional regarding their specific obligations. By using Farm-2 as a seller, you acknowledge that you bear full responsibility for tax compliance and agree to indemnify Farm-2 from any claims, penalties, or liabilities arising from failure to comply with applicable tax laws.

6. Shipping & Delivery

Sellers are responsible for delivering items as described. Where Farm-2 matches you with a third-party trucker or broker, that party is independent — Farm-2 is not the carrier and is not liable for loss or damage in transit. Insurance is the responsibility of the seller and the carrier.

7. Disputes

If a buyer and seller cannot resolve a dispute, either party may request Farm-2's review. We may, at our discretion, release protected funds, issue a partial or full refund, or refer the matter back to the parties. Our determination is not legal arbitration and does not waive your right to pursue legal remedies.

8. User Content & Conduct

You retain ownership of content you post (listings, photos, messages) and grant Farm-2 a non-exclusive licence to display and distribute it as needed to operate the Service. You agree not to:

• Post false, misleading, or fraudulent listings.
• Harass, threaten, or defraud other users.
• Scrape, copy, or republish other users' listings without permission.
• Attempt to circumvent the platform's payment protection or fee structure for transactions originated on Farm-2.
• Use the Service to send spam or unsolicited commercial messages.

9. Account Suspension & Termination

We may suspend or terminate accounts that violate these Terms, with or without notice. You may close your account at any time via the in-app deletion flow.

10. Disclaimers

The Service is provided "as is" without warranties of any kind. Farm-2 does not guarantee the quality, safety, or legality of items listed, the truth of users' representations, or the ability of buyers and sellers to complete transactions.

11. Limitation of Liability

To the maximum extent permitted by law, Farm-2's total liability arising out of or relating to the Service is limited to the platform fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Indemnity

You agree to indemnify and hold Farm-2 harmless from claims arising out of your listings, transactions, or violations of these Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Disputes may be brought in the courts of Ontario, except where mandatory consumer-protection laws in your jurisdiction provide otherwise.

14. Changes

We may update these Terms from time to time. Material changes will be posted here with a new effective date. Continued use of the Service after changes constitutes acceptance.
